Enlightenment Capital is a private equity firm based in Chevy Chase, Maryland, that makes control and non-control investments in middle-market companies in the aerospace, defense, government, and technology (ADG&T) sectors.[1] Founded in 2012 by Devin Talbott, the firm has raised over $2.3 billion in committed capital across five investment funds.[2]

History

Enlightenment Capital was founded in 2012 by Devin Talbott. Prior to founding the firm, Talbott was a vice president at D. E. Shaw’s direct capital strategy group, where he helped establish the firm’s Washington, D.C. office and built its defense and government vertical. He previously worked at TCG Financial Partners, a merchant bank founded by former U.S. Secretary of Defense William Cohen, and began his career in the mergers and acquisitions group at Lazard.[3]

The firm has raised five funds. Fund IV closed in June 2022 with $540 million in capital commitments.[4] Fund V closed in November 2024 with $825 million in total commitments, exceeding its original target of $600 million and hard cap of $750 million.[2][5]

In 2019, Enlightenment Capital joined the U.S. Small Business Administration’s Small Business Investment Company (SBIC) program, through which it has made investments in small businesses across the defense and government technology sectors.[6]

Notable investments and exits

Telos Corporation

In 2017, Enlightenment Capital made a strategic investment in Telos Corporation, a cybersecurity company based in Ashburn, Virginia[7]. In November 2020, Telos completed an initial public offering on the NASDAQ under the ticker symbol “TLS,” raising approximately $256 million. The IPO represented Enlightenment Capital’s first public exit.[8]

1901 Group

Enlightenment Capital invested in 1901 Group, a managed IT services and cloud solutions provider, in 2017. In December 2020, Leidos Holdings acquired 1901 Group for $215 million in cash.[9][10]

EverWatch

Enlightenment Capital formed EverWatch in 2018 through a combination of four portfolio companies focused on national security technology integration[11]. EverWatch provided intelligence, surveillance, and reconnaissance (ISR), signals intelligence, counterterrorism, cybersecurity, and cloud services to the U.S. intelligence community and federal agencies. In 2022, Booz Allen Hamilton acquired EverWatch for $440 million.[12][13]

Aeyon

In 2021, Enlightenment Capital formed Aeyon through the combination of two portfolio companies focused on robotic process automation and data analytics for federal government clients.[14] In September 2024, CGI Federal, a subsidiary of CGI Inc. (NYSE: GIB), completed its acquisition of Aeyon, adding approximately 725 employees and digital transformation capabilities for national security and civilian agency clients.[15][16]

Boecore

In January 2022, Enlightenment Capital acquired Boecore, a Colorado Springs-based provider of space and strategic defense technologies serving the U.S. Missile Defense Agency and U.S. Space Force. The firm subsequently combined Boecore with additional acquisitions to build a space-focused platform, which was later rebranded as Auria.[6][17]
