3LS is an American employee-owned holding company headquartered in Nashville, Tennessee.[1]
The company operates a portfolio of businesses in behavioral health, human services, technology, real estate, and professional services. The organization is structured as an Employee Stock Ownership Plan (ESOP) and functions as the parent company for a diversified group of operating businesses.
As of 2026, the organization reported approximately 1,400 employees and operations across more than 37 U.S. states.[1]
History
Origins (1991–1997)
The origins of 3LS trace to the founding of Omni Family of Services in Tennessee in 1991 by a group of social workers and human services professionals focused on foster care and family preservation services.[2]
The organization initially focused on child welfare and behavioral health services, including foster placement, family preservation, and community-based care programs.[3]
In 1997, the organization adopted an Employee Stock Ownership Plan (ESOP), transferring ownership to employees. The employee ownership structure was intended to align employee participation with organizational performance and long-term sustainability.[4]
Leadership and organizational development (2005–2015)
Eric Strickland joined the organization in 2005 as finance director, became chief financial officer in 2009, and was appointed chief executive officer in 2011.[5]
Under Strickland’s leadership, the organization expanded its behavioral health and human services operations across multiple states while pursuing a diversification strategy intended to reduce operational concentration risk.[5]
In 2013, the company recapitalized its ESOP through a leveraged buyout referred to internally as “ESOP 2.0.” The transaction generated liquidity for existing employee-owners and reopened equity participation opportunities for future employees.[6]
Formation of 3LS, Inc. (2015–present)
In 2015, the organization established 3LS, Inc. as a holding company overseeing a diversified portfolio of operating businesses. The holding company structure was created to support diversification across industries while maintaining centralized employee ownership and governance.[6]
Portfolio expansion
Omni Family of Services expansion
The Omni Family of Services platform expanded through a combination of organic growth and acquisitions, including the acquisition of JusticeWorks, a behavioral health and family services organization.[7]
The acquisition expanded the organization’s geographic footprint and behavioral health service capacity across multiple states.
3LS Properties
In 2016, 3LS launched 3LS Properties, a real estate investment and asset management business supporting operating companies and commercial real estate investments.[6]
3LS Ventures
In 2023, 3LS Ventures was formed to invest in early-stage behavioral health and healthcare technology companies. [8]
Omni Family Institute
In 2023, Omni Family Institute was launched to acquire and scale evidence-based behavioral health service models and clinical programs.[9]
Professional services expansion (2025)
In 2025, 3LS established 3LS Professional Services, consolidating several internal and acquired capabilities into a shared services platform serving both portfolio companies and external clients.[10]
The division included businesses focused on accounting and human resources,[11] IT and cybersecurity,[12] marketing and growth strategy,[13] and employee ownership aquisition consulting.[14]
Business model
3LS operates as a diversified ESOP holding company. Its business model includes employee ownership through ESOP participation, acquisition and formation of operating companies across multiple industries, shared services across subsidiaries, and reinvestment of earnings into new and existing operations.[5]
Company leadership has described diversification as a strategy for supporting long-term organizational sustainability and employee ownership value creation.[15]
Organizational structure
3LS functions as a parent organization overseeing independently operated portfolio companies. Subsidiaries retain operational autonomy while participating in centralized ownership, governance, and shared services systems.[16]
Scale and operations
As of 2026, 3LS reported operations across more than 37 states and approximately 1,400 employees across its subsidiaries.[17]

Publications including Forbes, Fast Company, The Tennessean, and the Nashville Business Journal have discussed the organization in relation to employee ownership, wealth-building, ownership transition and change management strategies.[18]
